Managed SEO service

Terms specific to the managed SEO service.

The following clauses apply specifically to managed SEO subscriptions (Starter, Pro, Premium) and supplement articles 1 to 12 above.

  1. 011. Nature of the SEO service — HDdev runs a complete SEO protocol: content production, optimisation and authority distribution (backlinks), measured and documented in a monthly report. As search-engine positioning evolves according to their own algorithms, HDdev's commitment is to the quality, regularity and transparency of the actions carried out.
  2. 022. Commitment & termination — The subscription is concluded for an initial minimum term of 6 months, then tacitly renewed month to month. Termination after the initial period requires one month's notice. Monthly fees already consumed are not refunded.
  3. 033. Content ownership — Articles produced and published on the client's site are the client's property. They remain online on the site after termination: the client keeps the SEO asset. The distribution of new content and new links stops upon termination.
  4. 044. Technical access & plugin — The client authorises the installation of a connection plugin and the automatic publishing of articles on its site. The plugin's usage licence is tied to an active subscription; the plugin stops publishing new articles in the event of an unpaid or terminated subscription, without deleting already-published content.
  5. 055. Data protection (GDPR) — The plugin transmits only the site URL and publication metadata; no personal data of site visitors is collected through this channel. Content generation relies on subprocessors (notably generative AI services). See the Privacy page and the Subprocessors page for the detailed list, legal bases and retention periods.
  6. 066. Byline / authors — The client provides the author names that will sign the articles and warrants that it has the right to use them. HDdev is not liable for the use of author names for which the client does not hold the necessary rights.
  7. 077. VAT & billing — Prices are stated excluding VAT. Applicable VAT is calculated and invoiced in accordance with the regulations in force via OmniVAT. Billing is monthly, in advance.
  8. 088. Limitation of liability — HDdev's liability is capped at the amount actually paid by the client over the last 6 months. Indirect damages are excluded. HDdev is not liable for penalties or downranking applied by a search engine following third-party actions or client actions outside the scope of the service.
HDdev Brain

Specific terms — HDdev Brain

HDdev Brain is a subscription service providing access to a memory and AI assistant instance dedicated to and isolated for each client. The clauses below supplement the general terms; in case of conflict, they prevail for this service.

  1. 01Nature of the service — HDdev provides an isolated instance (dedicated database, vector index and cache) allowing the client to store, index and query the content they deposit. HDdev is bound by an obligation of MEANS, excluding any obligation of result as to the relevance, accuracy or completeness of the answers produced.
  2. 02What the subscription includes — the price, stated EXCLUDING VAT, covers access to the service, an AI usage allowance and a storage allowance, at the volumes stated for the subscribed plan. Any consumption beyond these allowances requires the purchase of prepaid credits. The client may also supply their own AI provider key ("BYOK"): model calls are then governed by the contract between the client and their provider, and HDdev is not answerable for them.
  3. 03AI-generated output — answers are produced by probabilistic models and may be inaccurate, incomplete or unsuitable. They constitute neither legal, accounting, medical or financial advice, nor a decision. It is for the client to verify any information before relying or acting upon it. HDdev cannot be held liable for the consequences of unverified use.
  4. 04Client content — the client remains responsible for the content they deposit. They warrant that they hold sufficient rights and a lawful basis, including towards data subjects. They shall not deposit data falling under Article 9 GDPR (health, opinions, orientation, biometrics…) or relating to criminal convictions, save by prior separate written agreement. The client indemnifies HDdev against any third-party claim arising from the deposited content.
  5. 05Confidentiality and no training — a client's content is never mixed with another's, is never used to train, fine-tune or evaluate a model, and is neither sold, rented, transferred, nor used for advertising or profiling. Processing of personal data is governed by the Data Processing Agreement (DPA).
  6. 06Availability — the service is provided without a service level commitment, unless a guarantee option is expressly subscribed in writing. Interruptions may occur for maintenance, security updates, or due to a third-party provider (hosting, network, model provider). HDdev endeavours to limit them and to give notice of scheduled ones.
  7. 07Dependence on third-party providers — the service relies on infrastructure and AI model providers whose pricing, capacity and terms may change independently of HDdev. In the event of a significant change, HDdev may adjust allowances or pricing subject to thirty (30) days' notice; the client may then terminate free of charge before it takes effect.
  8. 08Prepaid credits — credits are purchased in advance, drawn down on actual consumption, and are neither refundable nor convertible into cash. They are attached to the client's account and lapse on its closure. A spending cap applies and may suspend the service when reached: such suspension is a protection, not a failure to perform.
  9. 09Backup and restoration — HDdev performs encrypted backups of the instance at the frequency stated in the service documentation. Data lost between two backups is not covered: HDdev guarantees neither a zero recovery point nor a determined restoration time. It is for the client to keep their own copies of content they consider critical.
  10. 10Termination and fate of data — the subscription is monthly and may be terminated at any time with effect at the end of the current period, without penalty. Termination entails, after a thirty (30) day recovery window, the irreversible destruction of the dedicated instance. After that period no restitution is possible: it is for the client to export their content beforehand.
  11. 11Prohibited use — the following are prohibited in particular: reselling or making the service available to third parties without written agreement, circumventing caps or technical measures, unlawful use, automated mass extraction, and any attempt to access another client's data. Any breach entitles HDdev to suspend the service immediately.
  12. 12Liability — HDdev's liability, on all grounds combined, is capped at the amount excluding tax actually paid by the client for the service during the twelve (12) months preceding the triggering event. Indirect damages are excluded, in particular loss of turnover, customers, data, business or reputation. These terms do not limit liability in case of wilful misconduct, gross negligence, or harm to life or physical integrity.
  13. 13Governing law and jurisdiction — these terms are governed by Belgian law. Any dispute falls within the exclusive jurisdiction of the courts of the Namur district, without prejudice to mandatory consumer-protection rules.
Site Care service

Managed maintenance and monitoring — Site Care

The following clauses apply specifically to Site Care subscriptions (Auto-Pilot and Concierge plans) and supplement articles 1 to 12 above.

  1. 01Nature of the service — HDdev provides availability and security monitoring, encrypted backups, updates, security hardening and restoration of the client's website. Two plans exist: “Auto-Pilot” (fully automated, no human intervention by design) and “Concierge” (human intervention by HDdev included). HDdev's commitment is an obligation of means: uninterrupted availability is not guaranteed.
  2. 02Plans and pricing — The scope, quotas (number of sites, traffic volume) and price of each plan are those shown on the Site Care pricing page and stated in the quote or order summary. Prices are exclusive of VAT; VAT is calculated and invoiced via OmniVAT. Billing is monthly, in advance. A sustained overrun of quotas may lead to a warning and then a plan adjustment.
  3. 03Term and termination — Unless otherwise stated in the quote, the subscription renews tacitly on a monthly basis; termination requires the notice period stated in the contract. Months already consumed are not refunded. General terms are set out in articles 8 to 10 above.
  4. 04Service levels (SLA) — Recovery time objectives (RTO) and maximum data loss (RPO), as well as the frequency of restoration tests, depend on the subscribed plan and are specified in the contract. Monitoring and technical self-recovery run 24/7; however, “business-hours” resolution times mean Monday to Friday, 9 a.m. to 6 p.m. (CET), excluding Belgian public holidays.
  5. 05SLA enforceability conditions — The service-level guarantee requires a prior audit and the deactivation of plugins flagged as conflicting. If the client refuses these prerequisites, or disables the monitoring canary, the SLA guarantee (RTO/RPO) ceases to apply, without any price reduction or refund.
  6. 06Technical access and Concierge — For the Concierge plan, the client entrusts HDdev with the credentials required to install the canary and perform interventions. These credentials are encrypted (AES-256-GCM), their use is logged and justified, and the client may revoke them at any time. The client warrants that it holds the rights to grant such access.
  7. 07Backups and restoration — Backups are encrypted before transfer to object storage located in the European Economic Area or in Switzerland. Their retention period, frequency and restoration granularity depend on the plan. The client remains responsible for keeping its own copies if it deems it necessary.
  8. 08Data protection — Within Site Care, the client acts as data controller and HDdev as processor within the meaning of article 28 of the GDPR. Detailed terms are set out in the Data Processing Agreement (DPA); the list of sub-processors is published on the Sub-processors page.
  9. 09Autonomous intervention — In the event of an incident, HDdev may trigger an automated recovery intervention, strictly limited to safe and reversible actions. Any destructive action is excluded and results in escalation to human intervention. These interventions do not access the content of the client's database.
  10. 10Limitation of liability — HDdev's liability is capped in accordance with article 11 above. Excluded in particular are indirect damages, third-party acts and the consequences of actions taken by the client outside the scope of the service. HDdev is not liable for unavailability attributable to the client's host or to a third party.
